Siebel Systems Acquires OnTarget
On Nov. 18, 1999, Siebel Systems, Inc. announced an agreement to acquire OnTarget, Inc., a leading provider of consulting services and training programs for sales and marketing organizations. OnTarget offers a comprehensive suite of training programs and professional services to help clients develop multi-channel sales and marketing strategies, assess their sales organizations effectiveness and design sales strategies and training that will accelerate time-to-market and market penetration. By combining OnTargets consulting and training services with Siebel Front Office Applications, Siebel Systems will be able to offer its customers a seamlessly integrated front office solution, including strategy, methodologies and software.
OnTarget will operate as a wholly owned subsidiary of Siebel Systems and will be responsible for delivering a comprehensive family of professional services in multichannel management and sales effectiveness. Alston Gardner, currently CEO, will become the vice president and general manager of OnTarget, which will continue to be based in Atlanta, Georgia.
Under the terms of the agreement, each outstanding share of OnTarget common stock will be exchanged, at a fixed exchange ratio of approximately 0.3078, for newly issued shares of common stock of Siebel Systems. This will result in the issuance of approximately 3.7 million additional Siebel Systems shares, valued at approximately $259 million, based upon Siebel Systems closing price as of November 17, 1999. In addition, all outstanding employee stock options of OnTarget will convert into approximately 0.3 million Siebel Systems options at the same exchange ratio. The number of shares issued and options assumed have been adjusted to reflect the 2-for-1 Siebel Systems stock split paid on November 12, 1999.
